LÄNSIVOIMA OYJ MERGED WITH FORTUM CORPORATION - QUOTATION OF LÄNSIVOIMA’S SHARES ENDED - INCREASE IN FORTUM’S SHARE CAPITAL ENTERED IN THE TRADE REGISTER - FORTUM POWER AND HEAT OY OWNS 6.04% OF FORTUM CORPORATION’S SHARES

Länsivoima Oyj’s merger with Fortum Corporation became effective on 30 September 2000, and the last day that Länsivoima’s shares were quoted was 29 September 2000. In the merger, one Länsivoima’s share was equivalent to 10 Fortum’s new shares. The new shares have been combined with Fortum’s existing share type on 30 September 2000, and trading with the new shares will be started on 2 October 2000.

 

Before the merger, Fortum Corporation’s shares totalled 784,782,635, and, in connection with the merger, 60,825,940 new Fortum shares were issued. Today Fortum’s shares number 845,608,575. The nominal value of Fortum’s share is EUR 3.40. Before the merger, Fortum’s share capital totalled EUR 2,668,260,959. The share capital was increased by EUR 206,808,196, and today Fortum’s share capital totals EUR 2,875,069,155. Changes in the share capital and number of shares have been entered in the trade register on 30 September 2000.

 

In the merger, Fortum Power and Heat Oy, Fortum Corporation’s wholly owned subsidiary, received 51,037,520 Fortum Corporation’s shares, which is 6.04% of the total number of Fortum Corporation’s shares.

 

Länsivoima’s business operations will be part of Fortum Group’s Distribution,Generation and Transmission Engineering units. On 1 May 2000, Länsivoima’s electricity sales were reorganised to be part of Fortum Energy House.
