Fortum and Infratek combine their infrastructure operations
Fortum receives a 33% stake in the enlarged Infratek ASA company
The Norwegian Competition Authority has approved the deal by which Fortum and
the Norwegian Infratek ASA combine their businesses of construction and
operating of infrastructure in Sweden, Finland and Norway as of 15 January 2009.
Fortum transfers its construction and operating of infrastructure as well as
parts of it distribution network construction activities in Sweden into the new
combined company. Fortum receives newly issued shares in Infratek ASA entitling
to a 33% ownership in the enlarged company. Hafslund ASA holds 43.3% of the
shares. The remaining shares are owned by institutional and private
shareholders.
The deal was approved by the Board of Directors of Fortum on 21 October 2008 and
Hafslund Infratek ASA's Extraordinary General Meeting (EGM) on 22 December 2008.
The EGM also approved to change the company name from Hafslund Infratek ASA to
Infratek ASA. Fortum's stock exchange release on the agreement was published on
24 October 2008.
